Agreement to Terms

Welcome to PathSync. These Terms of Use ("Terms") govern your access to and use of PathSync's transportation management platform, including our website, web application, mobile applications, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and ourPrivacy Policy. If you do not agree to these Terms, you may not access or use the Services.

Terms of Early Access

1. Confidentiality

You will not share or disclose any features, screenshots, workflows, or platform behavior with anyone outside your organization.

2. No Copying or Reverse Engineering

You will not copy, recreate, reverse engineer, or use any part of PathSync to build or support a competing product.

3. Feedback Ownership

Any feedback, suggestions, or ideas you share become the exclusive property of PathSync and may be used to improve the platform.

4. Limited Access

Your access may be revoked at any time and is intended solely for testing.

5. No Warranty

PathSync is in development. Features may change, break, or be incomplete.

Definitions

• "Customer" refers to the transportation company that has subscribed to PathSync Services.
• "User" refers to authorized individuals who access the platform on behalf of a Customer.
• "Client" refers to the Customer's clients who receive transportation services.

Eligibility

To use PathSync Services, you must:

• Be at least 18 years of age
• Have the authority to bind your organization to these Terms
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations

Account Registration and Security

Account Creation

To access PathSync, you must create an account by providing:

• Valid email address
• Secure password
• Organization/company name

Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of unauthorized access

Acceptable Use Policy

You agree to use PathSync Services only for lawful purposes. You agree NOT to:

• Violate any applicable laws or third-party rights
• Upload malicious code or harmful software
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Use the Services for fraudulent activities

SMS Communication Rules

• Obtain proper consent before sending SMS notifications
• Honor opt-out requests (STOP commands) immediately
• Comply with TCPA, CAN-SPAM, and CTIA regulations

Subscription and Payments

PathSync offers various subscription plans with different features and pricing. Your subscription details will be specified in your account settings or service agreement.

• Payments are processed automatically based on your billing cycle
• You authorize us to charge your payment method on file
• Failed payments may result in service suspension
• All fees are non-refundable unless otherwise stated

Intellectual Property Rights

PathSync Ownership

PathSync retains all rights to:

• Software, code, and technology
• Trademarks, logos, and branding
• User interface design and layout
• Documentation and content

Your Data

You retain all rights to the data you input into PathSync. By using our Services, you grant PathSync a limited license to use, store, and process your data solely for providing the Services.

Service Availability

While we strive for high availability, we do not guarantee uninterrupted access to the Services. Downtime may occur due to:

• Scheduled maintenance
• Emergency repairs or security updates
• Third-party service provider outages

Limitation of Liability

PathSync shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities

Termination

You may terminate your account at any time by canceling your subscription. We may suspend or terminate your access for violation of these Terms or non-payment of fees.

Upon termination:

• Your access to the Services will cease immediately
• You remain responsible for any outstanding fees
• We may delete your data after a reasonable retention period
